In the Prospectus published by Carlsberg on 15 May 2008 in connection with the Rights Issue it is stated that "Assuming all of the minority shareholders accept the offer, Management anticipates that the total consideration will be approximately EUR 30 million".
Carlsberg wishes to clarify in relation to the said statement that the price per share to be offered to the minority shareholders in Saku will be set taking into account the mandatory requirements of Estonian law and that the amount of EUR 30 million is preliminary allocation of funds by Carlsberg which should not be taken as indication of consideration payable.
Reference is also made to Saku's stock exchange release of 9 May 2008 where it is stated that Carlsberg is not for the moment interested in buying out all of the minority shareholders or in delisting the shares.
